Fidelity Services Group is inviting applications for a Company Secretarial Administrator position at its Head Office in Helderkruin, Roodepoort, Gauteng. This permanent, entry-level opportunity is suited to an organised and detail-oriented individual who has an interest in corporate governance, statutory administration and company secretarial practices. The successful candidate will provide administrative support to the Company Secretariat and assist with Board and committee documentation, resolutions, statutory registers and governance records. The role offers an opportunity to develop practical experience in corporate governance and company secretarial administration within a large security and investigations organisation. Reporting to the Group Company Secretary, the successful candidate will support the day-to-day administration of the Company Secretariat. The role involves coordinating meetings, preparing and distributing important governance documents and ensuring that company records remain accurate and up to date. Candidates will also assist with CIPC returns, directors’ declarations of interests, PSIRA-related compliance and electronic signature processes. Because the position deals with Board information, statutory records and confidential company documentation, professionalism, discretion and attention to detail will be essential. The opportunity is particularly suitable for someone who wants to build a career in corporate governance without necessarily having previous company secretarial experience.
Key Responsibilities
- Provide general administrative support to the Company Secretariat.
- Coordinate Board and committee meetings, including scheduling, reminders and changes to meeting arrangements.
- Assist with the preparation and distribution of Board, Shareholders’ and tender resolutions.
- Place resolutions on SigniFlow for electronic signatures and follow up with directors where required.
- Maintain accurate company records and statutory registers.
- Assist with annual CIPC returns and related company secretarial administration.
- Update directors’ declarations of interests and compare relevant information against the CIPC website.
- Ensure Terms of Reference, policies, charters and annual work plans are reviewed and updated annually.
- Assist with PSIRA compliance relating to directors.
- Support the annual renewal of company PSIRA certificates.
- Maintain governance documentation and ensure records are accurate, current and properly organised.
- Support document management activities within the Company Secretariat.
- Assist with administration relating to Microsoft Word, Excel and PowerPoint.
- Provide support with Microsoft Outlook and Microsoft Teams administration.
- Follow up on outstanding governance documentation and administrative actions.
- Assist the Company Secretariat with general company governance and statutory administration tasks as required.
Requirements and Skills
- Grade 12 or Matric is required.
- Studying towards a CGISA or CIS qualification will be advantageous.
- Previous company secretarial experience is not essential.
- Strong administrative and document management skills are required.
- Candidates should be highly organised and able to manage several responsibilities at the same time.
- Exceptional attention to detail is important when handling governance records, resolutions and statutory documentation.
- Applicants should be able to work accurately under pressure.
- Professionalism, trustworthiness and confidentiality are essential.
- Strong written and verbal communication skills are required.
- Proficiency in Microsoft Word, Excel and PowerPoint is required.
